Company’s powers definition

What does Company’s powers mean?

The company’s powers or capacity is defined by its objects and under the Companies Act 2006, the rule is that unless the company’s articles specifically restrict the objects of the company, its objects are unrestricted.

Under the Companies Act 2006 s 31(1), a company’s objects are unrestricted unless the company’s articles specifically restrict the objects of the company. A company with unrestricted objects has an unrestricted capacity other than restrictions imposed by the requirements of the Companies Act 2006 and the general law. For examples of the statutory powers conferred to a company, see Halsbury’s Laws of England 14 (5th), 254.
